These Terms of Use (“Terms”) govern access to and use of the Charles Tour public website and connected workspace (the “Service”). The publisher is identified in our Legal Notice: https://charlestour.com/en/legal-notice. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Definitions
“User”: any person with an account or access to the Service.
“Organization”: a company, production, or team created or joined within the Service, grouping multiple users.
“User Content”: data, text, files, messages, and information you or your organization import, enter, or generate through the Service.
2. Description of the Service
Charles Tour is a tour management tool to centralize dates, venues, contacts, travel, hotels, and documents, with import features and, where available, assistance from email messages (Charles Bot).
We may evolve the Service (add, modify, or remove features) for technical, legal, or commercial reasons, while reasonably considering your interests.
3. Account and security
You agree to provide accurate information when registering and to keep it up to date.
You are responsible for keeping your credentials confidential and for activity under your account. Notify us promptly if you suspect unauthorized use.
You must have the legal capacity to contract and, when acting for an organization, the authority to bind it.
4. Organizations and invitations
Organization administrators may invite members and assign roles. They remain responsible for access they grant and for members’ compliance with these Terms.
Data entered within an organization may be visible to other authorized members according to the Service’s permission rules.
5. Acceptable use
You must not, in particular:
- Use the Service in violation of law or third-party rights.
- Attempt unauthorized access to our systems, other accounts, or data not intended for you.
- Introduce viruses, malicious scripts, or code intended to disrupt the Service.
- Scrape or bulk-extract data using unauthorized automated means.
- Resell or sublicense the Service without prior written agreement.
6. User Content
You retain your rights in User Content. You grant us a non-exclusive, worldwide license limited to the contract term, necessary to host, process, display, and back up that content solely to provide the Service.
You warrant that you have the rights and permissions required for User Content, including when connecting a mailbox or importing third-party documents.
We may suspend access to manifestly unlawful content or content that violates these Terms, or remove it upon request from a competent authority.
7. Intellectual property
The Service, its brand, interface, code, documentation, and our editorial content remain our property or that of our licensors. No intellectual property assignment is granted beyond a personal or professional license to use the Service.
8. Trial and pricing
The Service may be offered with a free trial or paid plans described on the website. Applicable pricing will be specified at subscription.
Unless stated otherwise, the free trial does not require a credit card; we may change or discontinue promotional offers.
9. Availability and support
We aim for high availability but do not guarantee uninterrupted operation. Maintenance, updates, or incidents may cause temporary downtime.
Support is provided through the channels indicated on the site (including contact@charlestour.com), within reasonable timeframes.
10. Liability
The Service is an organization aid; you remain solely responsible for operational decisions based on displayed information (schedules, travel, bookings). Always verify critical data before departure or contractual commitment.
To the extent permitted by law, our total liability for proven direct damages is limited to amounts paid by you in the twelve (12) months before the event giving rise to liability, or, if none, one hundred euros (€100).
We disclaim liability for indirect damages (loss of revenue, loss of data not due to gross negligence, etc.).
11. Suspension and termination
You may stop using the Service and request account deletion through available features or by contacting us.
We may suspend or terminate access in case of serious breach of these Terms, security risk, or legal obligation, with notice when reasonably possible.
Provisions that by nature should survive termination (intellectual property, limitation of liability, governing law) remain in effect.
12. Governing law and disputes
These Terms are governed by French law. Failing amicable resolution, the courts with jurisdiction over the publisher’s registered office shall have exclusive competence, subject to mandatory consumer protection rules where applicable.
13. Changes to the Terms
We may amend these Terms. The update date is shown at the top. For material changes, we will notify you by email or in-Service notice. Continued use after the effective date constitutes acceptance, subject to your right to terminate.
